Unless otherwise indicated, all graphics, logos, page headers, button icons, scripts, commercial markings and service names are registered trademarks, trademarks or trade dress of SPF/LRFA (collectively, the "Trademarks") or its content providers. You may not use, copy, reproduce, republish, upload, post, transmit, distribute or modify any Trademarks in any way, including in advertising or publicity pertaining to or distribution of materials on the Service, without SPF/LRFA's prior written consent. Use of Service

You agree that the Service and all the Content shall be used only for your own legitimate personal or business purposes but not for the purpose of competing with the Service or SPF/LRFA. You warrant to SPF/LRFA that you are of sufficient legal age to use the Service and that you will not use the Service for any purpose that is unlawful or prohibited by these Terms of Use. Limitation of Liability

SPF/LRFA will not be liable for any damages or injury caused by the Service or any Content on the Service, including, but not limited to, any error, omission, interruption, defect, delay in operation or transmission, failure of performance or computer virus. SPF/LRFA will not be liable for any damages or injury, including but not limited to, special, indirect, incidental or consequential damages that result from the use of, or the inability to use, the content or materials on the Service even if there is negligence by SPF/LRFA or if an authorized representative of SPF LLC has been advised of the possibility of such damages, or both. The above limitation or exclusion may not apply to you to the extent that applicable law may not permit the limitation or exclusion of liability for incidental or consequential damages. SPF/LRFA will not be liable for any damages or injury, including but not limited to, special, indirect, incidental or consequential damages that may result from linking to any third-party web site.

Termination

SPF/LRFA may terminate any rights granted hereunder at any time. You may terminate any obligations granted hereunder by destroying: (a) all content and material obtained from the Service, and (b) all related documentation and all copies, printouts, and installations. SPF/LRFA may prevent your access to the Service immediately without notice if, in its sole judgment, you breach any provision of these Terms and Conditions.

Indemnification

You agree to defend, indemnify and hold harmless SPF/LRFA and its affiliates together with their respective employees, agents, directors, officers and shareholders, from and against all liabilities, claims, damages and expenses (including reasonable attorney's fees and costs) arising out of: your use of the Service; your failure to use the Service; your breach or alleged breach of these Terms and Conditions; or your breach or alleged breach of the copyright, trademark, proprietary or other rights of third parties.

Jurisdiction

SPF/LRFA makes no representation that the materials provided on the Service are appropriate or available for use in locations outside of the United States, its territories and possessions. If you use the Service from other locations, you are responsible for compliance with applicable local laws. Some Software from the service may be subject to export controls imposed by the United States and may not be downloaded or otherwise exported or re-exported: (a) into (or to a national of or resident of) any country to which the U.S. has placed an embargo, including without limitation, Cuba, Iran, Iraq, Libya, North Korea, Syria, or Yugoslavia; (b) to anyone on (i) the U.S. Treasury Department’s specially designated nationals list, or (ii) the U.S. Commerce Department’s table of denial orders. If you download or use the Software, you represent and warrant that you are not located in, or under the control of, or a national or any such country or on any such list.

Miscellaneous

These Terms and Conditions are for the benefit of SPF/LRFA, its licensees, successors and assigns. These Terms and Conditions will be governed and interpreted pursuant to the laws of the County and State of New York, United States of America, notwithstanding any principles of conflicts of law thereof, and be subject to the federal and state courts in New York county. You hereby consent to the personal jurisdiction and venue of such courts. If any part of these Terms and Conditions is unlawful, void, or unenforceable, that part will be modified to the extent possible to make it enforceable, or at SPF/LRFA's election, such part will be deemed severable and, in either event, such modification or severance will not affect the validity and enforceability of any remaining provisions. Possible evidence of use of the Service for illegal purposes will be provided to law enforcement authorities. These Terms and Conditions contain the entire agreement between the parties relating to the use of the Service and supersede all prior or contemporaneous communications and proposals between the parties.
